End User License Agreement

Subject to your compliance with this Agreement and payment of applicable fees, Gorilla Cargo LLC grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business operations during your subscription term.

This is a subscription to a hosted service, not a sale of software. No source code, object code, or underlying technology is licensed or transferred to you.

You're responsible for the accuracy of information you enter, for safeguarding your account credentials, and for all activity under your account, including actions taken by users you invite (drivers, dispatchers, and other team members).

You may not: reverse-engineer or attempt to extract source code from the Service; use the Service to store or transmit unlawful, infringing, or harmful content; attempt to gain unauthorized access to other customers' data or to our infrastructure; resell or white-label the Service without a separate written agreement; or use the Service in a way that violates applicable trucking, transportation, employment, or data-protection law.

You retain all rights to the data you and your team enter into the Service — load, customer, driver, financial, and document data ("Customer Data"). We do not claim ownership of Customer Data and use it only to provide, secure, and improve the Service, and as described in our Privacy Policy.

You're responsible for the legality of the Customer Data you upload, including having any consents needed from your drivers or customers.

The Service can optionally connect to third-party services you control — currently QuickBooks Online, and Google Maps/Places for routing and address lookups. These integrations are opt-in and governed by each provider's own terms; Gorilla Cargo LLC is not responsible for the availability, accuracy, or acts of those third parties. Disconnecting an integration in the Service stops future data sharing with that provider, but does not retroactively delete data already sent to it — that's governed by the third party's own retention policies.

Paid plans are billed in advance on a recurring basis (as shown at checkout) via our payment processor, Stripe. Fees are non-refundable except as required by law or expressly stated otherwise.

You may cancel at any time from Billing settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for non-payment, breach of this Agreement, or suspected fraud or abuse.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GORILLA CARGO LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CALCULATIONS (MILEAGE, IFTA, PAY, INVOICING) WILL BE FREE OF ERROR — YOU'RE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON THEM FOR REGULATORY FILINGS OR PAYMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GORILLA CARGO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Either party may terminate for convenience by cancelling the subscription (you) or by written notice (us). We may suspend or terminate immediately for material breach, non-payment, or conduct that risks harm to the Service or other customers. Upon termination, your right to access the Service ends; we retain Customer Data for a limited period as described in our Privacy Policy to allow export or reactivation, after which it may be deleted.

We may update this Agreement from time to time. If we make material changes, we'll provide notice (e.g., in-app notice or email) before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Texas, and you consent to that jurisdiction and venue.

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@roaddogtms.com; we'll attempt to resolve it within 30 days.

If we can't resolve a dispute informally, you and Gorilla Cargo LLC agree that any dispute arising out of or relating to this Agreement or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court — except that either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.

Arbitration will be conducted on an individual basis. You and we each waive any right to bring or participate in a class, collective, or representative action. The arbitrator, not any court, will decide all disputes about the interpretation or enforceability of this arbitration provision.

You may opt out of this arbitration provision by emailing info@roaddogtms.com within 30 days of first accepting this Agreement, stating your name and that you opt out of arbitration. Opting out doesn't affect any other part of this Agreement.
